Terms of Service

By accessing or using Replicas (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Service.

Replicas provides workspace virtual machines for AI coding agents. The Service enables users to configure, deploy, and manage isolated development environments for software engineering tasks.

You must create an account to use Replicas. You are responsible for maintaining the security of your account and password. You agree to accept responsibility for all activities that occur under your account.

You must provide accurate, complete, and current information during registration. Failure to do so constitutes a breach of the Terms and may result in immediate termination of your account.

Plans

Replicas offers a free Hobby plan and paid Developer, Team, and Enterprise plans. Paid plans are billed monthly on a per-seat basis. Current pricing for each plan is published at replicas.dev/pricing and may be updated in accordance with Section 09 (Changes to Terms).

Seats

A “seat” is counted for each unique user (identified by email address) who creates a workspace from an interactive surface during a billing period. Interactive surfaces include the Replicas Dashboard, the Slack integration, the Linear integration, the GitHub integration, and the Replicas CLI. Seat counts are reconciled at the end of each billing period and unused seat capacity does not roll over.

Metered API and Automations Usage

Workspaces created through the public API or the Automations feature are billed separately from seats, on a metered per-minute basis at the rate published on the pricing page. Metered usage is only charged for the time the underlying sandboxed virtual machine is awake; no charges accrue while a workspace is sleeping. Usage is rounded up to the nearest minute.

Metered API and Automations usage is invoiced at the end of each billing period in addition to your seat subscription. The Hobby plan does not include API or Automations access.

Hobby Plan

The Hobby plan includes a one-time allotment of credits sufficient to evaluate the Service. Hobby workspaces are automatically terminated when the credit allotment is exhausted. Hobby credits do not roll over and are not refundable.

Billing

You will be billed on a monthly basis for your selected plan. Payment is due at the beginning of each billing cycle, and metered usage from the prior period is reconciled at that time. Failure to pay may result in suspension or termination of your account.

All fees are non-refundable except as required by law. You are responsible for all applicable taxes. We may revise pricing from time to time; material changes will be communicated as described in Section 09.

You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service. Prohibited activities include but are not limited to:

• Cryptocurrency mining or similar resource-intensive operations not related to software development
• Hosting illegal content or engaging in illegal activities
• Attempting to gain unauthorized access to other systems or networks
• Distributing malware, viruses, or other harmful code
• Violating intellectual property rights of others
• Harassment, abuse, or harm to other users

Programmatic Use

The interactive surfaces of the Service (including the Dashboard, the Slack integration, the Linear integration, the GitHub integration, and the Replicas CLI) are intended for use by individual human operators and are billed on a per-seat basis. Programmatic, scripted, or automated access to the Service is permitted only through one of the following sanctioned channels:

• The public Replicas REST API, authenticated using an API key issued from your organization’s settings.
• The Automations feature, configured from your organization’s settings.

Without limitation, the following activities are prohibited:

• Scripting, polling, or otherwise driving authenticated dashboard endpoints from non-interactive clients.
• Wrapping the Replicas CLI in cron jobs, CI pipelines, or other automated runners in order to create or interact with workspaces without human action.
• Using headless browsers, browser-automation frameworks, or recorded sessions to drive the Dashboard, Slack, Linear, or GitHub integrations.
• Routing programmatic workloads through interactive surfaces in order to avoid the metered billing that applies to API and Automations usage.

We reserve the right to investigate and take appropriate action against violations of these Terms, including suspending or terminating accounts that route programmatic usage through interactive surfaces.

Your use of the Service is also governed by our Privacy Policy. By using Replicas, you consent to the collection and use of information as described in the Privacy Policy.

You retain ownership of any code, data, or content you create using the Service. You are solely responsible for backing up your data. We are not liable for any data loss.

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance or technical issues.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable for any modification, suspension, or discontinuation.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLICAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the twelve (12) months prior to the event giving rise to the liability.

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service will immediately cease.

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. All provisions which by their nature should survive termination shall survive.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or through the Service prior to the changes taking effect.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
